In accordance with the Act on Freedom of Economic Activity citizens from EU, EFTA (European Free Trade Association) and Switzerland all those members are able to conduct business activity like the polish citizens.

A little different rule applies for the citizens from 3rd countries.

Art.13 of this act. clearly presents, that citizens of the 3rd countries are able to set up in the Poland as a legal person only, like:

  • Limited liability company
  • Master limited partnership
  • Joint- stock company

The most common form is a Limited liability company. Foreign entrepreneurs can own 100% of the shares in a LLC. This type of the operation allowed the shareholders to be  members of the board as well. The shareholders liability is limited to their contribution of the share capital. The minimum required share capital is as low as 5000 PLN (about 1150 EUR).

I want to draw your attention that the polish government is trying to reduce fiscal pression to the legal person income which is one of the lowest rates of the incoming tax in the EU – 9% only, for new and small entrepreneurs.
